SUBJECT MATTER

The essential subject of this contract is the rental of the vessel owned by you as indicated in the Specific Conditions, in proper seaworthy condition for exclusive use of sports and private recreational navigation, according to the terms and conditions agreed upon by the parties in this contract.

LEASE TERM

The TENANT/CLIENT rents the referenced vessel for the maximum duration specified in the Specific Conditions. This term may be extended by the express and written agreement of both parties.

Any delay in the pick-up of the vessel by the TENANT/CLIENT, attributable to him, will not extend the lease period.

A delay in returning the vessel by the TENANT/CLIENT to its home port will entitle the LESSOR/SAILWAY S.L to withhold the deposit and claim from the first party as stipulated in the Clause.

PICK-UP AND DELIVERY LOCATION

The vessel will be delivered to the TENANT/CLIENT at the port and time specified in this contract. The vessel will be insured, ready for sailing, with full equipment and with water, fuel, and gas tanks filled.

If adverse weather conditions force the TENANT/CLIENT to delay their initial or subsequent departure, there will be no reduction in price or extension of the anticipated period established in this document, unless expressly agreed by both parties.

Before the delivery of the vessel, both parties will inspect the vessel and sign the CHECK IN (inventory). Once completed, the Tenant will sign the CHECK IN (inventory) indicating approval. Acceptance of the vessel and signing the inventory assumes it is in good condition and that the Tenant agrees to the terms of this contract.

The vessel must be returned to the Lessor within the timeframe stipulated in the Specific Conditions of this contract and as specified in the Clause.

DEPOSIT

The Tenant must provide the amount specified in the Specific Conditions to the LESSOR/SAILWAY S.L as a deposit.

THE TENANT/CLIENT will remit the amount described in the Specific Conditions as a deposit at the time of signing the contract. The DEPOSIT will be made using a VISA credit card to guarantee compliance with the obligations contained in this contract. This amount will be refunded to the TENANT/CLIENT when the current lease contract has been concluded and the condition of the vessel has been verified by SAILWAY, as well as the fulfillment of the tenant's obligations. It may be necessary to retain the deposit for up to 7 days after the vessel's return.

The LESSOR/SAILWAY S.L is responsible for any loss, damage, or malfunction occurring both in the rented vessel and in any of its auxiliary elements, including the dinghy, as well as all items inventoried and verified in the document signed by both parties in the "Check in-out". In any of the aforementioned circumstances, or delays in the scheduled delivery, LESSOR/SAILWAY S.L will withhold from the deposit until damages or losses, both material and lost profits, are compensated. The TENANT/CLIENT will pay the total deposit according to the invoices for said damages, losses, or repairs from Sailway's suppliers and relevant labor.

The TENANT/CLIENT must immediately inform the LESSOR/SAILWAY S.L of any accident, incident, damage, or issue irrespective of its nature. FAILURE TO INFORM IMMEDIATELY WILL RESULT IN LOSING THE FULL DEPOSIT FOR SERIOUS BREACH OF CONTRACT. In the event of an accident, a written accident report detailing the causes, circumstances, and effects of the incident must be created, along with the names, addresses, and details of witnesses and victims, if known. For the purposes of this contract, an accident is defined as any unforeseen, spontaneous, external, or violent event.

ITEMS EXCLUDED FROM THE RENTAL PRICE

The rental contract price does not include fuel consumption or dockings at a port other than the vessel's home port, which will be the responsibility of the TENANT/CLIENT.

FUEL. The TENANT/CLIENT must return the vessel to LESSOR/SAILWAY S.L with a full fuel tank and is required to provide the receipt for refueling to the Sailway staff at the time of check-out of the boat. In the event of not refueling, the total consumed plus a penalty of €50 + VAT for breach of contract will be deducted from your deposit.

INSURANCE

The vessel subject to this contract is covered by an accident and liability insurance policy. The vessel has onboard the certificate of coverage issued by the insurance company.

The client acknowledges having read the insurance conditions and agrees to the contracted coverages, committing to comply with these terms and obligations. The client will be liable for any damage, loss, or injury that occurs during the use of the vessel, up to a maximum deposit of €2,500 for sailboats and €1,500 for motorboats.

In the event of any accident affecting the rented vessel, its crew, passengers, third parties, or any type of property, the tenant must submit a written accident report, notifying LESSOR/SAILWAY S.L of the causes, circumstances, and consequences of what occurred, as well as the names, addresses, and details of the person responsible for the event, if known.

USE OF THE VESSEL

The vessel subject to this contract will be used exclusively for recreational navigation and cannot be used for commercial, lucrative, or illegal operations.

The TENANT/CLIENT agrees to use the rented vessel as if it were their own according to good sailing standards, and comply with regulations established by maritime, customs, health, and tax authorities, as well as national or foreign police where applicable. In the event of violation of regulations by the Tenant, they will be responsible for all fines, penalties, etc.

The vessel must only navigate within the waters authorized for its category. Under no circumstances may the vessel leave Spanish jurisdictional waters. The Tenant agrees not to transport more people onboard than permitted according to the safety certificate. Should the tenant wish to participate in a sports competition or regatta during their rental period, they must notify LESSOR/SAILWAY S.L of this intention and pay the corresponding fee for the specific insurance required to participate with the vessel subject to this contract.

THE TENANT/CLIENT ensures that they possess the necessary knowledge and experience for the cruise and hold the necessary boating license. The TENANT/CLIENT agrees not to subcontract or sublet the vessel in whole or in part. The TENANT/CLIENT ensures that the designated skipper in this contract has the knowledge and experience necessary to operate the rented vessel, holds the legally required license in Spain, and will have it available for the relevant authorities during the term of this contract. Throughout the duration of this contract, LESSOR/SAILWAY S.L is exempt from any responsibility that may arise from the lack or insufficiency of the skipper's knowledge.

LESSOR/SAILWAY S.L reserves the right to cancel this contract if the skipper does not possess sufficient training and competency to safely operate the vessel. LESSOR/SAILWAY S.L is not responsible for the validity of the certification within Spanish territory, whether a Spanish or foreign boating title. Any liability, incident, fine, or sanction arising from said certification will be the full responsibility of the TENANT/CLIENT.

The Tenant agrees not to bring animals onboard unless authorized by LESSOR/SAILWAY S.L.

The loading of weapons, narcotics, and products that may contravene Spanish legislation is strictly prohibited.

It is strictly forbidden to tow other vessels except in emergencies; furthermore, the rented vessel will only be towed in such cases and always with its own lines to avoid high salvage costs. The TENANT/CLIENT will not accept agreements or assume responsibilities without the authorization of LESSOR/SAILWAY S.L.

The TENANT/CLIENT commits to not leave the vessel moored or anchored, without any person onboard, in open waters or unprotected areas.

The TENANT/CLIENT will be liable for any loss or damage that occurs to the rented vessel during the rental period, and for the loss or disappearance of any of its elements or accessories including the paddle board, electric motor, or auxiliary vessel.

In the event of hazardous weather reports about the weather or sea (greater than force 6 on the Beaufort scale or winds of 25 knots or more) the Tenant agrees not to leave the port they are at or to go to the nearest safe port or anchorage.

LESSOR/SAILWAY S.L is not responsible for theft or loss of the auxiliary vessel. Its loss or damage will be deducted from the deposit.

RETURNING THE VESSEL

The TENANT/CLIENT will return the vessel at the place and date indicated in the Specific Conditions of this contract, in the same condition as received, with full water and fuel tanks and organized and properly stowed equipment and supplies. If not returned in these conditions, the filling cost of these tanks will be deducted from the deposit.

The TENANT/CLIENT must plan the cruise to return the vessel within the contracted timeframe, taking into account possible adverse situations that may arise. If the vessel's return is delayed due to sudden and unforeseen bad weather, the TENANT/CLIENT is obliged to immediately inform LESSOR/SAILWAY S.L of such events.

The tenant must plan the cruise to return the vessel within the contracted timeframe, considering possible adverse situations that may arise. Under no circumstances will these be sufficient reason for delaying the vessel's return. If delayed due to sudden and unforeseen bad weather, the tenant is required to notify the lessor.

Returning the vessel beyond the agreed time in the check-in will incur a penalty of €60 + VAT for each hour of delay in returning the vessel. This amount will be automatically deducted from the deposited deposit. Bad weather cannot be invoked as a reason for delay.

Upon returning the vessel, a review will be carried out by LESSOR/SAILWAY S.L of the vessel and its inventory and equipment. If any damage, losses, or breakages are found, LESSOR/SAILWAY S.L will deduct the necessary amount from the deposit to repair said damages. Should there be any disputes between the parties regarding the return conditions of the vessel and inventory items, the deposit will be returned once the dispute is resolved.

The vessel must be returned to the same port from which it was delivered or as previously agreed upon by the parties.

To return it at a different port, the TENANT/CLIENT requires explicit written permission from SAILWAY S.L. The TENANT/CLIENT will bear all costs incurred by this change of return location.

DELAYS IN RETURNING

If there is a delay in returning the vessel, the TENANT/CLIENT will be obliged to:

  • pay SAILWAY S.L double the daily rental for each day of delay in the vessel's return.
  • be responsible for all costs arising from this delay, both for SAILWAY S.L and for its clients who have the vessel contracted for the following periods.

If 24 hours pass after the contract ends and the vessel has not been returned and there are no news from it, a search will commence and its disappearance will be reported to the maritime authorities. Any resulting expenses will be borne by the TENANT/CLIENT.

Time spent on repairing damage sustained by the vessel or on re-repairing issues that were repaired or ordered by the tenant but were not fixed properly will also be considered a delay in return.

DAMAGE, THEFT, ACCIDENTS, AND MALFUNCTIONS.

If LESSOR/SAILWAY S.L is delayed in delivering the vessel or is unable to deliver it due to breakdowns or causes outside the company's control, a vessel with the same or similar characteristics will be provided. If this is not possible, the customer may choose to receive a lower-category vessel (with a proportional refund of the rental price difference) or the client may request the cancellation of this contract and the return of the amount paid up to that date, but may not use the vessel.

If damages, breakages, defects, or losses of material occur during the rental period, the tenant is obliged to immediately notify LESSOR/SAILWAY S.L, which will provide appropriate instructions to follow.

If accidents involve third parties, these must be declared by the tenant to the competent authorities.

The TENANT/CLIENT must immediately notify LESSOR/SAILWAY S.L of any accident, incident, damage, or issue irrespective of its nature. Failure to notify immediately will result in losing the full deposit for serious breach of contract. In case of accidents, the TENANT/CLIENT must create a written accident report detailing the causes, circumstances, and consequences of what occurred, as well as, if known; the name, surname, and address of the person responsible for the event and witnesses, as well as the names or addresses of the injured parties, if any. The tenant agrees to cooperate with the leasing company and the Insurance Company in the investigation and defense of any claims and processes.

If due to a breakdown occurring during the lease or other causes not attributable to the tenant, it is not possible to continue with the rented vessel, LESSOR/SAILWAY S.L will refund the proportional amount for the days the vessel could not be used or will provide a vessel with similar characteristics. Under no circumstances will this entitle an extension of the rental period. The TENANT/CLIENT will not order any repairs without indicating the breakdown to LESSOR/SAILWAY S.L, who must grant permission. The costs of repairs will be the responsibility of the lessor. Damages resulting from negligence, incompetence, or improper use of the vessel by the TENANT/CLIENT, will be paid in full by them, and LESSOR/SAILWAY S.L will consider this contract resolved and will reserve the right to claim damages caused by the breakdown. In this case, the provisions of the first paragraph of this condition will not apply. The TENANT/CLIENT must take special care with the use and handling of the toilet to avoid any damage or blockage. They must not throw toilet paper, personal hygiene items, wet wipes, or any other item that may cause a blockage. Any failure to adhere to these rules that causes a blockage of any nature in the toilet during the rental period will incur a cost of €450 + VAT for damages incurred by the company. Should the client fail to pay this amount, the rental/charter company SAILWAY S.L may deduct it from the deposit or charge the client’s credit card.

The TENANT/CLIENT releases SAILWAY S.L from all liability for losses or damages caused to items left, stored, or transported by the tenant or by any other person on board, within or on the vessel subject to the contract, either prior to or during the term of this contract.

In case of theft and/or removal of the vessel, the tenant is obliged to file the corresponding complaint with the competent authority, providing it to the leasing company.

CANCELLATION AND TERMINATION

The TENANT/CLIENT may cancel this contract, with cancellation costs as follows:

  • if the cancellation occurs more than 30 days before the start of the rental period, a payment of 30% of the rental price will be made to SAILWAY S.L.
  • if the cancellation occurs less than 30 days before the start of the rental period, a payment of 100% of the rental price will be made to SAILWAY S.L.

In cases of negligence in using the vessel in violation of current legislation, this will result in the automatic termination of the contract, and amounts paid will benefit SAILWAY S.L.

If the documentation submitted by the tenant does not authorize them to operate the vessel or does not demonstrate the necessary technical competence, the contract will be immediately terminated, and amounts paid up to that date (except the deposit which will be refunded) will be retained by LESSOR/SAILWAY S.L for damages incurred.

TERMINATION AT THE REQUEST OF THE LESSOR

SAILWAY S.L may terminate this contract if, for reasons beyond its control, it cannot make the contracted vessel available to the Tenant on the agreed delivery date. In such cases, SAILWAY S.L will reimburse the TENANT/CLIENT the amount paid in advance corresponding to the total days of rental not enjoyed. In no case may the TENANT/CLIENT claim damages from LESSOR/SAILWAY S.L for the unavailability of the vessel subject to this contract.

ADMINISTRATIVE RETENTIONS

Negligence or improper use of the boat, in violation of current legislation by the TENANT/CLIENT, will be sufficient grounds for immediate termination of the contract, and amounts paid up to that time will be held by SAILWAY S.L without the right to reimbursement by the tenant. Should the client violate customs or any other administration regulations, they will be liable for all fines, penalties, or responsibilities incurred, as well as all their consequences. In cases of the vessel's capture, the client will pay the lessor compensation for damages incurred an amount equivalent to double the daily rental price for each day until the vessel is returned and delivered. In case of confiscation, the client will pay the full value of the vessel within eight days. In both cases, the TENANT/CLIENT will lose these amounts paid to the benefit of SAILWAY.

APPLICABLE LAW AND COMPETENT JURISDICTION

The applicable law will be Spanish law. The parties expressly submit, for any issues arising from this contract, to the jurisdiction of the courts and tribunals of Vigo, expressly waiving any other jurisdiction that may correspond to them under Spanish law.

CONFIDENTIALITY AND DATA PROTECTION

The parties agree to maintain absolute confidentiality about the information and documentation provided or accessed during the provision of the Service, and not to disclose or use directly or indirectly the information derived from this contractual relationship.
