OBJECTIVE

The main objective of this contract is the rental of the boat owned by you as stated in the Particular Conditions, under the appropriate navigability conditions for exclusive use of private recreational sailing, as agreed by both parties in this contract.

LEASE PERIOD

The TENANT/CLIENT rents the referenced boat for the maximum duration specified in the Particular Conditions.

This period may be extended by express written consent of both parties.

Any delay in the tenant's/client's withdrawal of the boat due to their own fault will not result in an extension of the lease term.

Any delay in the return of the boat by the tenant/client to its home port will entitle the LANDLORD/SAILWAY S.L to retain the deposit and to make claims against the first party as stipulated in the Clause.

PICKUP AND DELIVERY LOCATION

The boat will be delivered to the TENANT/CLIENT at the port and time specified in this contract. The boat will be insured, ready to sail, equipped, and with full water, fuel, and gas tanks.

If adverse weather conditions force the TENANT/CLIENT to delay their initial or subsequent departures, there will be no price reduction or extension of the timeframe set forth in this document, unless explicitly agreed by both parties.

Before the boat is delivered, both parties will inspect the boat and sign the CHECK-IN (inventory). Once done, the Tenant will sign the CHECK-IN (inventory) indicating their approval. Acceptance of the boat and signature of the inventory presumes that it is in good condition and that the Tenant agrees to the terms of this contract.

The boat must be returned to the Landlord within the timeframe specified in the Particular Conditions of this contract and as stated in the Clause.

DEPOSIT

The Tenant must provide LANDLORD/SAILWAY S.L the amount specified in the Particular Conditions as a deposit.

THE TENANT/CLIENT will deliver, at the time of signing the contract, the amount described in the Particular Conditions as a DEPOSIT. The DEPOSIT will be held on a VISA credit card to ensure compliance with the obligations contained in this contract. This amount will be returned to the TENANT/CLIENT once the rental contract has ended and SAILWAY has verified the condition of the boat, as well as the fulfillment of the tenant's obligations. To achieve this, it may be necessary to retain the deposit for up to 7 days after the boat's return. The LANDLORD/SAILWAY S.L is responsible for any damage, harm, loss, or breakdown that occurs, both on the rented boat and on any of its auxiliary elements such as the dinghy, as well as everything inventoried and checked in the document signed by both parties for "Check in-out." Should any of the aforementioned circumstances occur, or in the event of a delay in scheduled delivery, LANDLORD/SAILWAY S.L will withhold and apply the deposit to cover losses or damages incurred, including material damages and loss of earnings. The TENANT/CLIENT will pay the total amount of the deposit based on the invoices for such damages, losses incurred, or repairs as per Sailway's providers and corresponding labor.

The TENANT/CLIENT must immediately notify LANDLORD/SAILWAY S.L of any accident, incident, breakdown, or occurrence regardless of its nature. FAILURE TO IMMEDIATELY NOTIFY WILL RESULT IN THE CLIENT FORFEITING THE ENTIRE DEPOSIT DUE TO A SEVERE BREACH OF CONTRACT. In the event of an accident, a written accident report must be filed, detailing the causes, circumstances, and consequences of what occurred, along with the name, surname, and address of the party responsible for the incident and of any witnesses as well as the names and addresses of the affected parties, if any. An accident, for this contract's purposes, is defined as any unforeseen, spontaneous, external, or violent incident.

EXCLUDED ITEMS FROM RENTAL PRICE

The rental price does not include fuel consumption or stays in ports other than the boat's home port, which will always be at the expense of the TENANT/CLIENT.

FUEL

The TENANT/CLIENT must return the boat to LANDLORD/SAILWAY S.L with a full fuel tank, and it is mandatory to provide the refueling receipt to Sailway staff at the time of check-out. In the event of failure to refuel, the total consumed will be deducted from the deposit plus a penalty of €50 + VAT for breaching the contract.

INSURANCE

The boat under this contract is covered by an accident and civil liability insurance policy. The boat has a coverage certificate on board issued by the insurance company.

The client acknowledges having read the insurance conditions and agrees with the contracted coverages, committing to comply with those terms and obligations. The client will be responsible for any damages, losses, material or human costs that occur during the use of the boat, up to a maximum of €2,500 for sailing boats and €1,500 for motorboats.

In the event of any accident affecting the rented boat, its crew, passengers, third parties, or any type of property, the tenant must file a written accident report, informing LANDLORD/SAILWAY S.L of the causes, circumstances, and consequences of what occurred, as well as the names, surnames, and addresses of the party responsible for the incident, witnesses, and victims if applicable.

USE OF THE BOAT

The boat subject to this contract will be used exclusively for recreational sailing and may not be used for commercial, profitable, or illegal activities.

The TENANT/CLIENT agrees to use the rented boat as if it were their property according to good sailing practices, and to comply with the regulations established by maritime, customs, health, and tax authorities, as well as national or foreign police where applicable. In case of any infringement of regulations by the Tenant, they will be responsible for all penalties, fines, etc.

The boat may only sail within the waters authorized for its classification. Under no circumstances may the boat leave Spanish jurisdictional waters. The Tenant commits to not transport more people on board than permitted according to the safety certificate. If the tenant wishes to participate in a sports competition or regatta during the rental period, they must notify LANDLORD/SAILWAY S.L of such intention and pay the additional cost for the mandatory specific insurance to participate with the boat subject to this contract.

The TENANT/CLIENT assures that they possess the knowledge and experience necessary to conduct the cruise and hold the required nautical qualifications for that purpose. The TENANT/CLIENT agrees not to subcontract or sublet the boat wholly or partially. The TENANT/CLIENT assures that the designated captain in this contract has the requisite knowledge and experience to safely operate the rented boat, possesses the legally required license in Spain, and will have it available for the relevant authorities during the term of this contract. During the validity of this contract, LANDLORD/SAILWAY S.L is exempt from any responsibility arising from a lack of knowledge or insufficient skills of the captain.

LANDLORD/SAILWAY S.L reserves the right to cancel this contract if the captain lacks the necessary skills and qualifications to safely operate the boat. LANDLORD/SAILWAY S.L is not responsible for the validity of the qualification within Spanish territory, whether it is a Spanish or foreign nautical license. All responsibility, incidents, fines, or sanctions arising from such licensing will be the total responsibility of the TENANT/CLIENT.

The Tenant must not bring animals on board unless authorized by LANDLORD/SAILWAY S.L.

Embarking weapons, narcotics, and products that may contravene Spanish legislation are absolutely prohibited.

The towing of other boats is completely prohibited except in emergency cases; furthermore, the rented boat will only be towed in the same circumstances and always with its own ropes to avoid high salvage costs. The TENANT/CLIENT shall not accept agreements or assume responsibilities without LANDLORD/SAILWAY S.L’s authorization.

The TENANT/CLIENT agrees not to leave the boat tied or anchored, with no one on board, in the open roadstead or unprotected waters.

The TENANT/CLIENT will be responsible for any damage or harm that occurs to the rented boat during the rental period and for the loss or misplacement of any of its elements or accessories, including the paddleboard, electric motor, or auxiliary boat.

In case of adverse weather reports about the weather or sea (greater than force 6 Beaufort or from 25 knots of wind), the Tenant agrees not to leave the port they are in or to go to the nearest safe port or anchorage to their position.

LANDLORD/SAILWAY S.L is not responsible for the theft or loss of the auxiliary boat. Its loss or damage will be deducted from the deposit.

RETURN OF THE BOAT

The TENANT/CLIENT will return the boat at the time and place indicated in the Particular Conditions of this contract, in the same condition as received, with full fuel and water tanks, and with equipment and provisions organized and properly stowed. If not delivered under these conditions, the cost of refilling the tanks will be deducted from the deposit.

The TENANT/CLIENT must plan the cruise to ensure the boat is returned within the contracted timeframe, considering possible adverse situations that may arise. If adverse weather conditions unexpectedly delay the return of the boat, the TENANT/CLIENT is obliged to inform LANDLORD/SAILWAY S.L immediately of such occurrences.

The delivery of the boat outside the agreed timetables will incur a penalty of €60 + VAT for each hour of delay in returning the boat. This amount will be automatically deducted from the deposit. Bad weather cannot be claimed as a reason for delays.

Upon returning the boat, there will be an inspection of the boat and its inventory and equipment by LANDLORD/SAILWAY S.L. If damage, losses, or breakages of equipment from improper use are found, LANDLORD/SAILWAY S.L will deduct the necessary amount from the deposit to repair such damages. In the case of discrepancies between the parties regarding the condition of the boat and the inventoried items upon return, the deposit will be refunded at the conclusion of the disagreement.

The boat must be returned to the same port where it was delivered or as previously agreed between the parties.

To deliver it to a different port, the TENANT/CLIENT needs express written permission from SAILWAY S.L. The TENANT/CLIENT will bear all costs arising from this change in the place of return.

DELAYS IN RETURN

If there is a delay in returning the boat, the TENANT/CLIENT will be obliged:

• To pay SAILWAY S.L double the daily rental fee for each day of delay in returning the boat.
• To assume all costs arising from this delay, both for SAILWAY S.L and for its clients who have booked the boat for the following periods.

If after 24 hours past the end of the contract, the boat has not been returned and there has been no contact, a search will be initiated, and its disappearance reported to the maritime authorities. Any costs incurred from this will be the responsibility of the TENANT/CLIENT.

Time taken to repair damages incurred to the boat, or for a second repair of items not correctly fixed or addressed by the tenant will also be considered as delays in the return.

DAMAGES, THEFTS, ACCIDENTS, AND BREAKDOWNS

If LANDLORD/SAILWAY S.L is delayed in delivering the boat or is unable to deliver it due to breakdowns or any cause beyond the company's control, a boat of equal or similar characteristics will be provided. If not possible, at the client's choice, either a lower category boat will be provided (with a corresponding proportional refund of the rental price difference) or the client can request the termination of this contract and the refund of the amount paid until then, with no right to use the boat.

If during the rental period, the rented boat suffers breakdowns, damages, or losses of material, the tenant is obliged to inform LANDLORD/SAILWAY S.L immediately, which will give the appropriate instructions to follow.

If accidents occur involving third parties, these must be reported by the tenant to the relevant authorities.

The TENANT/CLIENT must immediately notify LANDLORD/SAILWAY S.L of any accident, incident, breakdown, or occurrence, regardless of its nature. Failure to report immediately will result in the TENANT/CLIENT losing their entire deposit due to a serious breach of contract. In the event of accidents, the TENANT/CLIENT must provide a written accident report, detailing the causes, circumstances, and consequences of what occurred, along with any known names, surnames, and addresses of the responsible party and witnesses, as well as the names or addresses of the affected parties if any. The tenant commits to cooperate with the rental company and the Insurance Company in investigating and defending against any claims and processes.

If due to a breakdown during the rental or other causes not attributable to the tenant, it is not possible to continue on the rented boat, LANDLORD/SAILWAY S.L will refund the proportionate amount for the days when the use of the boat was not possible or will provide a boat of similar characteristics. Under no circumstances will this entitle the TENANT/CLIENT to extend the rental period. The TENANT/CLIENT shall not order any repairs without first informing LANDLORD/SAILWAY S.L about the breakdown, who must grant permission. Repair costs will be borne by the landlord. Damages caused by negligence, incompetence, or improper use of the boat by the TENANT/CLIENT will be fully paid by them, and LANDLORD/SAILWAY S.L will consider this contract resolved and reserve the right to claim damages and losses resulting from the breakdown. In such a case, the provisions in the first paragraph of this condition will not apply. The TENANT/CLIENT must take special care with the use and operation of the toilet to avoid any breakdowns or clogs. They must not throw toilet paper, intimate hygiene items, wipes, or any other items that could block it. Any violation of these rules causing any blockage of the toilet during the rental period will incur a charge of €450 + VAT for the damages incurred by the company. If payment is not made, the rental company/charter SAILWAY S.L may deduct this from the deposit or charge it to the client's credit card.

The TENANT/CLIENT relieves SAILWAY S.L the landlord of any liability for losses or damages that occur to items left, stored, or transported by the tenant or any other person on board, within or on the boat subject to the contract, whether prior to or during the validity of this agreement.

In case of theft and/or seizure of the boat, the tenant is obliged to file the corresponding report with the competent authority and provide it to the rental company.

CANCELLATION AND TERMINATION

The TENANT/CLIENT may cancel this contract with cancellation costs as follows:

• If the cancellation occurs more than 30 days before the start of the rental period, 30% of the rental price will be paid to SAILWAY S.L.
• If the cancellation occurs less than 30 days before the start of the rental period, 100% of the rental price will be paid to SAILWAY S.L.

Should there be negligence in using the boat in violation of applicable law, this will be grounds for immediate termination of the contract, with the amounts paid in favor of SAILWAY S.L.

If the documentation provided by the tenant does not authorize them to operate the boat or does not demonstrate sufficient technical competence, the contract will be terminated immediately, with any amounts paid (except for the deposit which will be refunded) being retained by LANDLORD/SAILWAY S.L. as damages.

TERMINATION AT THE LANDLORD'S REQUEST

SAILWAY S.L may terminate this contract if, for reasons beyond its control, it cannot make the contracted boat available to the Tenant at the time it should be delivered. In this case, SAILWAY S.L will refund the TENANT/CLIENT the amount confirmed for the total of the unused rental days. In no case may the TENANT/CLIENT claim compensation from LANDLORD/SAILWAY S.L for the unavailability of the boat subject to this contract.

ADMINISTRATIVE RETENTIONS

Negligence or improper use of the boat, in violation of applicable laws by the TENANT/CLIENT, will be sufficient grounds for instant termination of the contract, with any amounts paid thus far retained by SAILWAY S.L without the right to a refund by the tenant. If the client breaches customs ordinances or any other administration, they will be responsible for all fines, penalties, or liabilities that arise, as well as all related consequences. In the event of seizure of the boat, the client will pay the landlord an amount equivalent to double the daily rental fee for each day until the boat is returned and delivered. In case of confiscation, the client will pay the full value of the boat within eight days. In both cases, the TENANT/CLIENT will forfeit the amounts paid in favor of SAILWAY.

APPLICABLE LAW AND COMPETENT JURISDICTION

The applicable law shall be Spanish. The parties expressly submit to the jurisdiction of the courts in Vigo for any matters that may arise from this contract, waiving any other jurisdiction that may correspond under Spanish law.

CONFIDENTIALITY AND DATA PROTECTION

The parties are obliged to maintain absolute confidentiality regarding the information and documentation provided or accessed during the provision of the service and shall not disclose, nor use, directly or indirectly, the information derived from this contractual relationship.
